Terms of Use

Article.1 (ILS2023 Matching)

  1. These Terms of Use shall apply to the companies, operators and Individuals who are general Participants (herein after called “Participants”) that use "ILS2023 Matching"(herein after called "ILS2023 Matching"), a matching service operated by Project Nippon Co., Ltd. (hereinafter referred to as "Project Nippon"). “ILS2023 Matching” shall include "ILS Online", "Power Matching" and "VC Matching".
  2. Participants understand that ILS2023 Matching aims to match companies to generate global innovation.

Article.2 (Application)

  1. Participants shall obtain Project Nippon’s approval to participate in ILS2023 Matching. Upon approval, the Service Agreement (herein after called “Service Agreement”) shall become effective between the Participants and Project Nippon.
  2. Participants wishing to participate in ILS2023 Matching shall apply by the application form given by Project Nippon or by email. Project Nippon may refuse the application. Upon approval, the Service Agreement (herein after called “Service Agreement”) shall become effective between the Participants and Project Nippon. Company shall be deemed to understand and consent to these Terms of Use.

Article.3 (Assignment)

Participants shall not assign, transfer, grant security interests on or otherwise dispose of the Service Agreement or its rights or obligations under the Terms without the prior written consent of Project Nippon.

Article.4 (Service Period)

  1. Participants can use ILS2023 Matching for Service period determined separately (Service period is planned to be from July 13, 2023 to January 31, 2024).
  2. If Project Nippon determine that ILS2023 Matching needs to be temporarily suspended for operational or technical reasons, Project Nippon may interrupt ILS2023 Matching without prior notice to Participants and the Participants shall consent to this in advance. Project Nippon is not liable for any delays and losses caused by the interruption.

Article.5 (ID and Password)

  1. Project Nippon will issue an ID and password (hereinafter referred to as "ID and PW.") to Participants. Participants shall strictly keep the ID and PW and cannot lend, transfer or disclose this to a third party.
  2. If Participants wish to make a third party use ID and PW, Company shall obtain the prior approval of Project Nippon based on the procedures prescribed by Project Nippon. In this case, the Participants shall make the third party comply with the Service Agreement and shall be responsible for the compliance. In addition, Project Nippon shall not be liable for any accidents related to the outsourced business.

Article.6 (Posted or Transmit Information)

  1. Participants’ information shall be subject to Project Nippon’s check. When Project Nippon judges the information contains contents that are contrary to the standards set by Project Nippon or to the facts, etc. Project Nippon may correct, delete, suspend, or postpone the posting. The Participants shall agree in advance to the amendment, deletion, suspension, postponement, etc. Project Nippon shall not be liable for any costs incurred due to the correction, suspension or postponement of posting, delays incurred, etc. Project Nippon shall not be involved in any obstacles or disputes that occur between the Participants and other Participants. Project Nippon shall not be responsible for the obstacles and disputes.
  2. The intellectual property rights of all contents included in ILS2023 Matching belong to Project Nippon. The intellectual property rights are protected by copyright law, trademark law, design law, etc. Participants shall not divert the contents of ILS2023 Matching. If Company wish to use the contents of ILS2023 Matching for purposes other than ILS2023 Matching (reprint, reproduction, publication, etc.), the Participants shall obtain Project Nippon’s approval in advance.

Article.7 (Confidentiality)

  1. Participants shall use the information of participating startups stored in ILS2023 Matching only for the purpose of ILS2023 Matching and shall not use it for any other purpose.
  2. Participants shall treat the information obtained from ILS2023 Matching as confidential and shall not disclose or leak it to a third party except with the consent of the information subject.
  3. Participants shall safely keep the personal information obtained from ILS2023 Matching in accordance with laws and regulations. Participants agree to disclose the names and email addresses of participants viewing the ILS2023 Matching online event startup pitches to the speakers and organizers.
  4. When the Participants outsource the handling of the received information to a subcontractor, the Participants shall bear all responsibility for compliance with this agreement.

Article.8 (Blocking)

Participants shall not take any action that may overload the ILS2023 Matching system. If Participants performs such an act, Project Nippon may take technical measures such as blocking measures for the purpose of maintaining security without prior notice, which will result in loss to the Participants. Even if it does occur, Project Nippon shall not be liable at all. Participants shall agree in advance that Project Nippon may take technical measures such as blocking.

Article.9 (Our confidentiality obligation)

Project Nippon shall handle information of Participants registered by Participants using ILS2023 Matching or information on the use of ILS2023 Matching by Participants in compliance with laws.

Article.10 (Service Fee)

  1. Participants shall pay the ILS2023 Matching usage fee (hereinafter referred to as the "usage fee") when Service Agreement becomes effective. The usage fee shall be stated in the prescribed application form. The fee for payment shall be borne by the Participants.
  2. Participants are obliged to pay the full amount of the usage fee and Project Nippon shall not be obliged to refund the fee even if Service Agreement is terminated in the middle of the service period.
  3. Participants shall bear the line charges, provider costs, and various costs related to environment settings for using ILS2023 Matching.

Article.11 (Disclaimer)

  1. Project Nippon shall not be liable to the Participants for any damages or losses incurred by the Participants by using ILS2023 Matching unless it is clear that it is due to the intentional or gross negligence of Project Nippon.
  2. ILS2023 Matching may be offered by not face-to-face at the venue, but by the WEB system when there are any force majeure (including but not limited to natural disasters, epidemics of infectious diseases, acts of government or government agencies, acts of prefectural or prefectural agencies, compliance with laws, regulations or orders, fire, storm, flood or earthquake, war, rebellion, revolution or riot, or strike or lockout).
  3. If Project Nippon fails to comply with the preceding paragraph and this event is canceled, Project Nippon shall refund 50% of the participation fee to the Company.

Article.12 (Termination, etc.)

  1. Project Nippon may immediately terminate Service Agreement or temporarily suspend the use of ILS2023 Matching if the Participants falls under any of the following items.
    i. Participants violates any of these terms.
    ② Participants obstructs the operation of ILS2023 Matching.
    ③ Participants makes an unreasonable request to Project Nippon due to violence, power, etc. by itself or a third party.
    ④ A major change occurs in the business environment of Participants such as merger, business transfer, bankruptcy, civil rehabilitation, corporate reorganization, seizure, insolvency, credit insecurity, labor dispute, etc.
    ⑤ Project Nippon determines that Participants is not suitable to ILS2023 Matching due to violation of laws and regulations, antisocial behavior, or violation of public order and morals.
    ⑥ Project Nippon determines that Participants is inappropriate to ILS2023 Matching due to administrative sanctions, civil proceedings, criminal accusations, investigations, etc., or social problems in Participants.
    ⑦ The registration information, declaration information, posted information or outgoing information is false.
    ⑧ Participants did not cooperate with the survey on the preceding items
  2. If Project Nippon terminates Service Agreement, the Participants will naturally lose the profit of the deadline and shall immediately repay all debts to Project Nippon.
  3. Even if Service Agreement is terminated or the use of ILS2023 Matching is suspended pursuant to the provisions of Paragraph 1, the Company shall pay the full usage fee. Project Nippon shall not refund the usage fee.

Article.13 (Exclusion of Antisocial Forces)

  1. Participants guarantee that they do not fall under any of the following items and will not fall under these items in the future, and it was found that the Participants fell under or were applicable to any of the following items. In such cases, Project Nippon shall be able to immediately suspend the use of ILS2023 Matching without requiring any special notice.
    ① Gang, gangsters, those who have not been a gangster for less than five years, associate members of gangsters, affiliated companies of gangsters, general assembly houses, etc., social movements, etc. Hereinafter, they are collectively referred to as "anti-social forces".
    ② Officers or persons who substantially control management are antisocial forces
    ③ The parent company, subsidiary, or third party subcontracting business falls under any of the preceding two items.
    ④ Acting intimidatingly against Project Nippon, using violence, or damaging the reputation or credibility of the Participants.
  2. ⑤ Interfere with our business by using counterfeit or power
    ⑥ Making unreasonable demands beyond legal responsibility to Project Nippon
    ⑦ To have a third party, who is an antisocial force, perform the acts of the preceding three items.
    ⑧ Acts that promote the activities, such as providing funds to antisocial forces by themselves, their officers, or those who substantially control management.
    ⑨ A parent company, a subsidiary, or a third party subcontracting business performs any of the preceding items.
  3. Even if the use of ILS2023 Matching is suspended pursuant to the provisions of the preceding paragraph, the Participants will not be exempt from the obligation to pay the full usage fee, and Project Nippon shall not be obliged to return the paid usage fee.

Article.14 (Change of Terms)

  1. Project Nippon may change, add, or delete the Terms of Use within a reasonable range without obtaining the consent of the Participants. Any significant changes to Service Agreement shall be notified on the ILS2023 Matching website with a one-week notice period (“Notice Period”).
  2. Participants may terminate the use of ILS2023 Matching after the date of implementation of the change by notifying Project Nippon in writing that they will not accept the change of this agreement during the Notice Period set forth in the preceding paragraph.
  3. Project Nippon shall not be liable to the Participants for the termination of the use of ILS2023 Matching according to the preceding paragraph. Participants that terminate the use of this service due to changes in this agreement shall pay the full amount of the usage fee stated regardless of the service period, and Participants shall Project Nippon shall not be obliged to refund the paid usage fee.

Article.15 (Severability)

Even if some of these Terms are invalidated by law or final judgment, the other provisions shall continue to be effective.

Article.16 (Governing Law / Jurisdiction)

This agreement and this agreement shall be governed by Japanese law. The Tokyo District Court or the Tokyo Simple Court shall be the exclusive agreement jurisdiction court of the first instance for all disputes related to this agreement.

Article.17 (Language)

Project Nippon has English version and Japanese version of these Terms of Use. If there are any difference between English version and Japanese version, Japanese version prevail.

[Terms for Use and handling of registered information]

  1. This website aims to register the information for the following ILS2023 Matching.

    Participants use the ILS2023 Matching Website shall be deemed to consent to the Terms of Use. The registration procedure is required for each Participants. Participants shall not make its affiliates participate in the event or disclose information to its affiliates.

    External parties (third parties) other than Advisory Board member organization(s) may not participate in business meetings.

  2. The information registered on this website will be disclosed only within the matching website, except for the information displayed with the "Public" icon on the registration screen. The contents to be published are limited to those whose icon is displayed as "Disclosed:"([Public to]) or "Public" on the registration screen. The disclosure range is as follows.

    Disclosed: major companies / Startups
    It will be open to only for startups and companies that participate and sponsor.
    It will be open only to the advisory board and major companies that participate and sponsor.
    It will be open only to the advisory board and major companies that participate and sponsor.
    Disclosed: major companies / Advisory board
    It will be open only for major companies that participate and sponsor. If the startup is not recommended by the advisory board, it will be published on all advisory boards, but after receiving the recommendation, it will be published only on the recommended advisory board. It will not be published to other startups.
    Disclosed: Startups / Advisory board
    It will be open only to startups and advisory boards.
    Disclosed: major companies
    It will be open to only for major companies that participate and sponsor.

    The entered content will be open to all the viewer. Specifically, it will be open on the ILS Official Websites.

  3. Project Nippon Co., Ltd. (hereinafter collectively referred to as "operators"), which operate ILS2023 Matching Websites, cannot guarantee the truthfulness and credibility of the information registered and published on this website. Operators cannot guarantee the proper handling of information disclosed in a business negotiation. In addition, the operators cannot take any responsibility for the unauthorized use of the disclosed information. Participants shall manage its information at its own risk.
  4. Modification of the information registered on this website shall be made by a method separately determined by the operators. The operators cannot be responsible for any damage caused by the failure of the change procedure.
  5. The information registered on this website is intended for the operators to set up negotiations between companies participating in ILS and startups, and to set up negotiations between advisory boards and startups, etc. by e-mail, mail, telephone, etc. As, we shall use the information to provide information and guidance to Participants and related parties.
  6. The registered information shall not be used for any purpose other than the purpose stipulated in this agreement.
  7. Participants shall not use the information of other Participants obtained from ILS or the matching website for any purpose other than negotiations between major companies participating in ILS and startups or negotiations between advisory boards and startups.
  8. This website may use a technology called cookie to measure and analyze the usage status and improve convenience. Cookie are stored on the computer that browses the site, but the information content does not contain any information that identifies the individual user. You can refuse or delete the use of cookie by setting your browser. However, in that case, some functions of this site may not be available.
  9. The operators may change this Terms without obtaining the consent of the Participants. When changing this agreement, the operators will notify the Participants by a method separately determined by the operators. After the change of this agreement, if the Participants participates in ILS, uses the Matching Website or continues to disclose information on the Matching Website, the Participants is deemed to have accepted the change of this agreement.
  10. Project Nippon has English version and Japanese version of these Terms. If there are any difference between English version and Japanese version, Japanese version prevail.

Advisory Board is the recommender of startups to participate in ILS. Advisory board is venture capitalists and other startup supporters.

Cancellation Procedure The administrative office will handle cancellations and refunds individually. 1 Basic Policy

In order to comply with the Act on the Protection of Personal Information and related laws and regulations, when acquiring personal information, we will publicly announce or notify the purpose of use, and when acquiring personal information directly from an individual in a contract or other written form, we will clearly state the purpose of use in advance. Identification, provision of services, response to inquiries, and information on our business.

(2)Personal information of the ILS Advisory Board:

Identification, provision of services, response to inquiries, and information on our business.

(3)Personal information of startups participating in ILS:

Identification, provision of services, response to inquiries, and information on our business.

(4)Personal information of general participants in ILS:

Identification, provision of services, response to inquiries, and information on our business.

3 Provision of Personal Information to Third Parties

We will provide or disclose personal information to third parties only in the following cases, when we have the prior consent of the person concerned or when permitted by law:
(1) Mutual disclosure of personal information of ILS startups, employees of major participating companies, advisory boards, and general participants for the purpose of providing services.

4 Safety Control Measures

We will take the following necessary and appropriate security control measures to prevent leakage or loss of, or damage to personal data:

  • (1)  Establishment of internal rules for safety management.
  • (2)  Establishment of a person responsible for handling personal information and management by that person.
  • (3)  Periodic training sessions.
  • (4)  Segregation and locking of personal information within the Company's offices.
  • (5)  Restriction of access to personal information files and implementation of measures to prevent unauthorized access.

Personal information managed by the Company shall not be provided or disclosed to any third party, except in cases where the Company has entered into a contract in advance with a subcontractor, etc., to ensure that personal information is not used for any purpose other than the services entrusted by the Company, where the member has given prior consent, or where requested by law.

5 Acquisition of Cookie Information

A cookie is a mechanism that stores information such as usage history and input content sent and received between a browser and a server as a file on the customer's computer when the customer uses a web page.
